Organizations engaging our services confirm that the individual accepting these terms has authority to bind the organization to this Agreement.

- Demand Forecasting Systems: Development and deployment of AI-driven forecasting solutions incorporating historical patterns, seasonality, and market indicators
- Logistics Route Optimization: Implementation of AI-powered route planning systems for distribution operations
3.2 Service Availability
Services are provided to businesses operating in Malaysia. We reserve the right to decline service engagements at our discretion.
Service delivery timelines and specifications will be detailed in project-specific agreements or statements of work.
4. User Responsibilities
4.1 Acceptable Use
When using our website and services, you agree to:

You retain all rights to the operational data, business information, and other materials you provide to us. You grant us a limited license to use this data solely for delivering the agreed services.
6. Payment Terms
6.1 Pricing and Fees
Service fees are specified in project quotes or statements of work. Published prices on our website are indicative; actual project costs may vary based on specific requirements.
All prices are quoted in Malaysian Ringgit (RM) and exclude applicable taxes unless stated otherwise.
6.2 Payment Schedule
Payment terms will be specified in service agreements. Typical arrangements include:
- Diagnostic services: Payment due upon completion
- System development: Milestone-based payments or 50% upfront with remainder upon deployment
- Ongoing support: Monthly or quarterly billing as specified in agreement
6.3 Late Payment
Invoices are due within 30 days of issuance unless otherwise specified. Late payments may incur interest charges of 1.5% per month on the outstanding balance.
7. Service-Specific Terms
7.1 Diagnostic Services
Diagnostic assessments provide opportunity identification and recommendations based on analysis of your provided data. We do not guarantee that implementing recommended solutions will achieve specific operational improvements, though we provide estimated improvement ranges based on our analysis.
7.2 System Development
Development services include analysis, design, implementation, testing, and deployment of AI systems as specified in the statement of work. System performance depends significantly on the quality and completeness of data you provide.
We conduct historical backtesting to validate system performance but cannot guarantee future performance under changing business conditions.
7.3 Integration
Integration with your existing systems requires access to relevant platforms and cooperation from your IT team. Delays in providing access or data may affect project timelines.
7.4 Support Services
Ongoing support terms, including response times and covered activities, will be specified in service agreements. Support does not include modifications beyond the original scope without additional fees.
8. Disclaimers
Our services are provided "as is" without warranties of any kind, express or implied. We specifically disclaim:
- Performance Warranties: While we strive for high-quality results, we do not guarantee specific operational improvements or cost savings
- Accuracy Warranties: AI systems are probabilistic and may produce occasional errors; human oversight remains necessary
- Completeness: Diagnostic assessments are based on information available during the engagement period
- Third-Party Systems: We are not responsible for the functionality or availability of third-party platforms with which our systems integrate
Our services support business decision-making but do not replace professional judgment. You remain responsible for operational decisions made using our systems.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law:
Our total liability arising from or related to any service engagement is limited to the fees paid by you for that specific engagement.
We are not liable for indirect, consequential, incidental, or special damages including lost profits, business interruption, or data loss, even if advised of the possibility of such damages.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded under Malaysian law.
10. Indemnification
You agree to indemnify and hold harmless Routelyf, its officers, employees, and contractors from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of third parties.
11. Termination
11.1 Termination by Either Party
Either party may terminate ongoing service arrangements with 30 days written notice, subject to completion of in-progress work and payment for services rendered.
11.2 Immediate Termination
We may immediately terminate services if you:
- Breach these terms or any service agreement
- Fail to make required payments
- Engage in unlawful or harmful activities
11.3 Effects of Termination
Upon termination, you remain obligated to pay for all services provided through the termination date. Provisions regarding intellectual property, confidentiality, and limitation of liability survive termination.
12. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during service delivery. This obligation continues for three years after service completion.
Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
13. Dispute Resolution
13.1 Governing Law
These terms are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13.2 Informal Resolution
Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct negotiation.
13.3 Arbitration
If informal resolution fails, disputes may be referred to arbitration under the rules of the Asian International Arbitration Centre, with proceedings conducted in Kuala Lumpur.
14. General Provisions
14.1 Entire Agreement
These terms, together with any service-specific agreements, constitute the entire agreement between parties regarding our services and supersede all prior understandings.
14.2 Severability
If any provision is found unenforceable, the remaining provisions continue in full effect.
14.3 Waiver
Failure to enforce any provision does not constitute a waiver of that or any other provision.
14.4 Assignment
You may not assign your rights or obligations without our written consent. We may assign our rights and obligations with notice to you.
14.5 Notices
Notices must be in writing and sent to the contact information provided in service agreements or to [email protected].
15. Changes to Terms
We may update these Terms & Conditions to reflect changes in our services or legal requirements. We will notify you of significant changes by:

- Sending email notification to active clients
Your continued use of our services after changes take effect constitutes acceptance of the revised terms.
